Fractional CFO and Transactional Legal Advisor

About the role

The client seeks a senior executive who will combine financial leadership with transactional legal advisory to close active capital transactions, operationalise new SPVs and strengthen the infrastructure for a larger mini‑grid and commercial‑industrial pipeline in Nigeria.

Key responsibilities

• Lead integrated financial and legal work to close debt and commercial transactions, upgrade financial models, and implement FX and liquidity risk‑management frameworks.
• Design HoldCo‑SPV governance structures, intercompany agreements, cash‑waterfall mechanisms and covenant tracking.
• Review and strengthen project, concession, shareholder, land and community agreements, ensuring compliance with ESG and regulatory standards.
• Build sustainable financial, legal and ESG capacity through templates, policies and knowledge transfer.

Required profile

• Senior CFO, VP Finance or equivalent leadership experience in growth‑stage African infrastructure or energy businesses.
• Proven track record in blended and foreign‑capital raising, investor due‑diligence and transactional legal work on energy or infrastructure contracts.
• Familiarity with Nigerian electricity‑sector regulation, IFRS and ESG compliance is highly valuable.

• Project‑finance modelling, DSCR and covenant analytics.
• FX hedging and liquidity management.
• SPV/HoldCo structuring, PPAs, concession and shareholder agreements, term‑sheet drafting.
• IFRS knowledge and Nigerian electricity‑sector regulatory compliance.
