Team Lead, Strategy Advisory and Company Secretariat

About the role

A strategic and compliance-driven Team Lead is sought to align corporate governance with the company's strategic objectives, ensure full regulatory adherence and enable commercially sound, risk-mitigated transactions. The role acts as both legal risk manager and deal enabler, supporting the Board, Management and business units.

Key responsibilities

• Guide Management and the Board in strategy formulation, evaluation, execution and risk/opportunity assessment
• Coordinate cross-functional inputs to build strategic plans and monitor implementation through dashboards and corrective actions
• Ensure 100% compliance with corporate governance, statutory filings and regulatory obligations (CAC, NMDPRA, NUPRC, NOTAP)
• Organize and document Board and Committee meetings (notices, agendas, minutes, resolutions) with timely, accurate outputs
• Maintain statutory books, registers and policies for audits and regulatory reviews
• Advise on legal implications of transactions, investments and partnerships; lead due diligence and deal structuring
• Draft, review and negotiate SPAs, JV agreements, financing and service contracts
• Oversee the transaction lifecycle, coordinating internal and external stakeholders and ensuring post-closing compliance
• Develop risk mitigation strategies, especially in oil and gas regulations and environmental standards
• Build performance-monitoring frameworks and facilitate communication across Board, Management, regulators and partners

Required profile

• Bachelor's degree in Law (LLB/BL)
• Minimum 5-7 years post-call experience in corporate/commercial law, governance and transaction advisory
• Minimum 3 years in a leadership or supervisory role leading legal and secretariat teams
• ICSAN membership and ECBA (IIBA) certification is an added advantage
• Sector exposure in logistics, oil and gas, energy or infrastructure is highly preferred
