Company Secretary / Head of Legal and Compliance

About the role

The Company Secretary & Head of Legal and Compliance will provide strategic legal leadership and oversee company secretarial functions for a leading Nigerian financial services group. Reporting to the Board and Executive Management, the role ensures full regulatory compliance while supporting business growth.

Key responsibilities

• Organise Board meetings, draft agendas, issue notices and distribute papers within statutory timelines.
• Assist the Chairman and CEO/MD in setting the annual Board plan and handling strategic Board matters.
• Take minutes at Board, Committee and General meetings, provide immediate legal counsel, and ensure actions comply with the Memorandum and Articles of Association, Code of Corporate Governance and relevant laws.
• Prepare and file Board resolutions, annual returns and statutory notifications to CAC, SEC, NSE and other regulators.
• Maintain statutory registers, minute books and corporate records.
• Oversee incorporation and registration of corporate entities and ensure ongoing regulatory compliance.
• Follow up on action items from meetings and coordinate with relevant parties.
• Arrange director evaluations, training and annual director assessments.

Required profile

• Trusted advisor to the Board and Executive Management on corporate governance and legal risk.
• Proven experience in company secretarial duties and regulatory compliance within the financial services sector.
• Strong understanding of Nigerian corporate law, securities regulations and stock‑exchange requirements.
