Company Secretary / Head of Legal and Compliance

About the role

Our client, a leading financial services group in Nigeria, is seeking a seasoned professional to serve as Company Secretary and Head of Legal and Compliance. The role combines corporate governance oversight with strategic legal leadership, supporting the Board and executive team while ensuring full regulatory compliance.

Key responsibilities

• Organise and schedule Board, Committee and General meetings, draft agendas and issue notices.
• Take minutes, provide immediate legal counsel during meetings, and ensure actions comply with the Memorandum and Articles of Association, corporate governance codes and relevant laws.
• Prepare and file Board resolutions, annual returns and statutory notifications to CAC, SEC, NSE and other regulators.
• Maintain statutory registers, minute books and corporate records.
• Oversee director evaluations, training programmes and annual compliance reviews.
• Support investment committees of mutual funds, drafting minutes and tracking action items.

Required profile

• Minimum 8 years of experience in corporate secretarial, legal and compliance functions, preferably within financial services.
• Demonstrated ability to advise senior management and boards on governance and regulatory matters.
• Strong knowledge of Nigerian corporate law, securities regulations and governance best‑practice.

Required skills

• Expertise in corporate secretarial procedures and statutory filing.
• Proficiency in drafting legal documents, board minutes and compliance policies.
• Ability to interpret and apply regulatory frameworks (CAC, SEC, NSE).
