Company Secretary – Corporate Governance & Legal

About the role

The Company Secretary will ensure Ascentech complies with the Companies and Allied Matters Act and other relevant regulations, while supporting the Board and executive management in governance matters. The role combines statutory compliance, corporate governance advisory, and contract management within a dynamic manufacturing environment.

Key responsibilities

• Ensure compliance with CAMA and other applicable laws and regulations.
• Maintain statutory registers, corporate records, licences, permits, and regulatory filings.
• Coordinate Board and Executive Management meetings, preparing agendas, board papers, minutes, and tracking implementation of resolutions.
• Advise Management and the Board on corporate governance, legal, and regulatory matters.
• Draft, review, and negotiate commercial contracts including supplier, distributor, employment, and confidentiality agreements.
• Identify and mitigate legal and governance risks, providing practical advice to support business decisions.
• Liaise with regulatory authorities such as CAC, NAFDAC, SON, and external legal counsel where necessary.
• Maintain an effective contract management system and ensure proper legal documentation and record retention.
• Promote a culture of compliance and support strategic business initiatives from a legal perspective.

Required profile

• LL.B. and Barrister-at-Law (B.L.) with a valid practising licence in Nigeria.
• Minimum 8–10 years post‑call legal experience, including at least 5 years as a Company Secretary or in a corporate governance role.
• Strong knowledge of CAMA, Nigerian corporate governance, commercial contracts, and regulatory compliance.
• Experience in the manufacturing or FMCG sector, dealing with CAC, NAFDAC, and SON, is an advantage.
• Membership of the Chartered Governance Institute of Nigeria (CGI Nigeria/ICSAN) is a plus.
