Legal Manager – Energy & Power Sector

About the role

The Legal Manager will provide comprehensive legal, regulatory and commercial support across New Hampshire Capital Limited’s energy businesses in Nigeria. The role covers the full power value chain, from generation and distribution to metering and renewable projects, ensuring that all activities are compliant, commercially sound and risk‑managed.

Key responsibilities

• Draft, review and negotiate a wide range of agreements, including Power Purchase Agreements, Franchise Agreements, Meter Service Agreements, EPC contracts, O&M agreements, Joint Venture Agreements, and lease or concession contracts.
• Provide timely legal advice to senior management and business units on operational and commercial matters.
• Develop and maintain standard legal templates, contract precedents and drafting standards.
• Support structuring, legal compliance and risk assessment for energy and infrastructure projects, including preparation of term sheets and transaction documentation.
• Monitor legislative and regulatory developments, manage licensing applications, renewals and regulatory approvals, and engage with regulators such as NERC and state electricity commissions.
• Coordinate stakeholder negotiations with government ministries, regulators and distribution companies.
• Manage disputes, liaise with external counsel, and implement risk mitigation strategies across contracts and operations.
• Provide legal support to the Board and internal governance processes.
