Senior Transaction Diligence

About the role

As a Senior Transaction Diligence professional, you will work with a globally‑renowned advisory team to support high‑profile M&A transactions. You will help clients determine the right deal and ensure its successful execution through rigorous financial and strategic analysis.

Key responsibilities

• Lead due‑diligence engagements for acquisitions and divestments, working with private‑equity and corporate clients.
• Analyse financial and operational results of target companies, including accounting records and management interviews.
• Identify and quantify GAAP issues that affect valuation.
• Prepare and evaluate pro‑forma financial models and carve‑out scenarios.
• Identify purchase‑price reduction opportunities, deal‑structuring considerations, or termination triggers.
• Assess post‑acquisition integration steps and seasonality impacts on cash flow.
• Conduct industry and company research to support valuation assumptions.
• Correlate diligence findings with client valuations and manage expectations.
• Supervise and develop junior staff, providing feedback and performance reviews.

Required profile

• Proven experience leading transaction‑diligence projects in M&A or private‑equity environments.
• Strong analytical skills with the ability to interpret financial statements and operational data.
• Deep knowledge of GAAP and financial modeling techniques.
• Excellent communication skills for interacting with senior client stakeholders.
• Ability to manage multiple engagements and mentor junior team members.
