Independent Non-Executive Director – Financial Holding Company

About the role

The newly incorporated Financial Holding Company in Nigeria seeks an experienced professional to join its Board of Directors as an Independent Non-Executive Director (INED). This senior governance role provides independent oversight, strategic guidance, and ensures robust corporate governance across the organisation.

Key responsibilities

• Offer independent judgement and feedback on management proposals and actions.
• Provide oversight and independent perspectives on the implementation of the company’s strategy, vision, and policies.
• Advise the Board on corporate governance best practices, regulatory compliance, and ethical standards.
• Chair the Board Audit Committee, Board Nomination & Governance Committee, and Board Remuneration Committee.
• Support the Board in identifying, assessing, and monitoring key business risks and internal control effectiveness.
• Review and evaluate operational and financial performance to ensure alignment with organisational goals.
• Contribute to the development and review of strategic plans, policies, and business initiatives.

Required profile

• Bachelor's degree in any discipline or equivalent professional qualification.
• Minimum 15 years of senior executive management experience in the financial services industry, preferably in Africa or internationally.
• Membership of the Chartered Institute of Directors or a comparable professional institute.
• Demonstrable board‑level experience in a similar role.
• Strong knowledge of the legal and regulatory environment governing financial services; digital banking and IT expertise are advantageous.
• High‑level understanding of finance, financial reporting, and risk management.
• Must meet the Central Bank of Nigeria criteria for INEDs.
