Company Secretary – Corporate Governance & Legal

About the role

Coralford Consults, a fast‑growing defence technology company in Nigeria, is looking for a qualified Nigerian lawyer to serve as Company Secretary. The role will lead corporate governance, legal and regulatory compliance, advising the Board and senior management on all related matters.

Key responsibilities

• Advise the Board and management on corporate governance, CAMA 2020 and regulatory compliance.
• Organise and manage Board meetings, including agendas, minutes, resolutions and follow‑up actions.
• Maintain statutory registers, corporate records and governance documentation.
• Ensure timely regulatory filings and statutory compliance.
• Review and manage key corporate and commercial agreements and liaise with external counsel.
• Identify and mitigate legal, governance and compliance risks.
• Maintain the company’s ethics and anti‑corruption framework.
• Prepare governance and compliance reports for the Board.

Required profile

• Qualified Nigerian lawyer with a minimum of 8 years post‑call experience.
• Strong experience in corporate law, company secretarial practice, corporate governance and regulatory compliance.
• In‑depth knowledge of CAMA 2020 and Nigerian regulatory requirements.
• Proven experience advising Boards or senior executives in a regulated environment.
• Nigerian citizenship and eligibility for relevant security clearances.
