Associate Company Secretary (Legal)

About the role

This full‑time hybrid position is based in Lagos, Nigeria, with some remote flexibility. The Associate Company Secretary will ensure statutory compliance, maintain corporate records, and support board activities while acting as a trusted advisor to the board, management, and shareholders.

Key responsibilities

• Support end‑to‑end company secretarial functions for public and private companies, including board and committee meetings, AGMs, and regulatory filings.
• Ensure compliance with SEC, NGX, CAC, and other relevant regulatory requirements.
• Maintain statutory registers and submit statutory returns on time.
• Prepare and review governance documentation such as board packs, resolutions, and shareholder communications.
• Advise on corporate governance best practices and assist in implementing relevant frameworks.
• Liaise with external regulators, auditors, and legal advisers.
• Support corporate transactions including rights issues, share reconstructions, and public disclosures.

Required profile

• 3‑5 years experience as a company secretary.
• Strong knowledge of compliance management, corporate governance, and regulatory requirements.
• Bachelor’s degree in Law; certifications like ICSAN are a plus.
• Excellent communication, interpersonal, and organizational skills.
• Ability to work independently in a hybrid environment.
