About the role
The M&A Attorney will work remotely to support high‑impact transactions for a global technology leader. You will review, negotiate and execute transaction agreements while ensuring regulatory compliance.
Key responsibilities
- Draft, review and negotiate definitive agreements and ancillary transaction documents.
- Conduct legal due diligence for mergers, acquisitions and divestitures.
- Advise on corporate governance, compliance and regulatory matters.
- Coordinate with internal stakeholders to align legal strategy with business objectives.
- Provide guidance on transaction structure, risk allocation and deal terms.
Required profile
- Admitted to practice law in at least one U.S. jurisdiction with M&A experience.
- Proven experience drafting and negotiating M&A agreements such as SPAs and asset purchase agreements.
- Strong knowledge of securities laws, corporate governance and regulatory compliance.
- Excellent analytical and problem‑solving abilities with attention to detail.
- Ability to work independently and manage multiple priorities in a fast‑paced environment.
