Legal & Compliance Manager

About the role

The Legal & Compliance Manager will lead the firm’s governance, legal, and regulatory functions. Reporting to senior leadership, the role ensures board effectiveness, investor confidence, and strict adherence to Nigerian financial regulations.

Key responsibilities

• Plan, schedule and conduct board and committee meetings, prepare agendas, board packs and minutes, and maintain statutory registers.
• Act as liaison between the board, management and shareholders, providing governance advice and ensuring ethical standards.
• Facilitate investor relations, respond to queries, prepare regulatory reports and communicate investment risks.
• Draft, review and negotiate contracts, manage litigation, and oversee external counsel.
• Implement and monitor AML/CFT, KYC, anti‑bribery and insider‑trading compliance frameworks.
• Conduct compliance audits, risk assessments and deliver training programmes.
• Identify and mitigate legal and regulatory risks, advise on crises and develop governance policies.

Required profile

• Senior‑level professional with at least 8 years of experience in legal, compliance or corporate governance.
• Strong knowledge of Nigerian regulatory bodies such as SEC and CBN.
• Proven experience managing board secretarial duties and investor‑relations activities.
• Demonstrated ability to oversee litigation and coordinate external counsel.
